You are responsible for ensuring that:

  • you have all necessary rights and permissions relating to Customer Content; and
  • your use of the Services complies with applicable laws and regulations.

 

5. Intellectual property

 

The Services, including all software, platform features, branding, designs, text, graphics, content, and underlying technology, are owned by or licensed to GoUpscale and are protected by applicable intellectual property laws.

 

Except as expressly permitted, nothing in these Terms grants you any right, title, or interest in or to the Services or GoUpscale’s intellectual property.

 

6. AI-enabled features

 

Certain features or functionalities may incorporate AI-enabled tools, automation, or content generation technologies.

 

Outputs generated through AI-enabled features may:

  • be automated in nature;
  • contain inaccuracies or incomplete information; and
  • require human review and verification.

 

Users remain responsible for reviewing and validating generated outputs before relying on them.

 

7. Third-party services

 

The Services may integrate with or rely on third-party providers, including hosting, analytics, communication, and infrastructure providers.

 

GoUpscale is not responsible for third-party services, websites, or content that are not operated by GoUpscale.

To the maximum extent permitted by applicable law, GoUpscale shall not be liable for any indirect, incidental, consequential, special, punitive, or loss-of-profit damages arising out of or relating to the use of the Services.

 

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

 

11. Enterprise agreements

 

If you are using the Services under a separate written agreement with GoUpscale, including a Master Services Agreement, Subscription Agreement, Order Form, or Statement of Work, that agreement shall prevail in the event of any inconsistency with these Terms.

 

12. Changes to the services or terms

 

GoUpscale may update or modify the Services or these Terms from time to time.

 

Updated Terms will be published on this page with a revised “Last Updated” date. Continued use of the Services after such updates constitutes acceptance of the revised Terms.

 

13. Governing law

 

These Terms shall be governed by and construed in accordance with the laws of Singapore.

The courts of Singapore shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services.
